1. Introduction
These Seller Terms and Conditions (“Agreement”) constitute a binding agreement between the seller (“Seller”) and Opxora Techno Pvt. Ltd. (“Rapidshop.in” or “Platform”). By listing products or services on Rapidshop.in, you agree to comply with these terms and conditions. If you do not agree to these terms, you must refrain from selling on the platform.
2. Eligibility
To sell on Rapidshop.in, you must meet the following criteria:
- You are a registered business with a valid GSTIN or a registered individual vendor.
- You possess a valid PAN for taxation purposes.
- You must comply with all applicable laws, including product regulations, intellectual property rights, and consumer protection laws.
3. Seller Registration
- The Seller must provide accurate and complete information during the registration process, including business details, product information, contact details, and payment preferences.
- Rapidshop.in reserves the right to suspend or terminate the account of any seller providing false or incomplete information.
4. Product Listings
- Sellers are responsible for creating accurate and truthful product listings, including but not limited to, product description, pricing, images, and inventory details.
- Products must comply with all relevant laws, safety standards, and regulations applicable to fashion items.
- Rapidshop.in reserves the right to remove listings that violate these terms or that do not meet the platform’s quality standards.
5. Pricing and Commission
- Sellers are free to set their own pricing for products. However, pricing must be competitive and must adhere to the platform’s guidelines on pricing transparency.
- Rapidshop.in charges a commission on each sale made through the platform. The commission rate will be disclosed to the seller during onboarding and is subject to change with prior notice.
- Taxes (GST, TDS, etc.) applicable on sales are the responsibility of the seller and must be collected and remitted according to Indian tax laws.
6. Order Fulfillment
- Sellers are responsible for timely order fulfillment. Once an order is placed, the seller must ship the product within the designated shipping timeline.
- Sellers are required to use reliable and traceable shipping methods and provide tracking information to customers within 24 hours of dispatch.
- Any delay in shipping or failure to fulfill orders may result in penalties or suspension from the platform.
7. Returns, Refunds, and Cancellations
- Sellers must honor all returns and refunds as per the Rapidshop.in Return Policy and in compliance with applicable consumer protection laws.
- Fashion products are eligible for returns if they meet the platform’s return criteria (e.g., unused, with original tags).
- In case of cancellations or refunds, the seller agrees to absorb the costs of the return shipping, unless the product is defective or incorrect.
8. Payments
- Payments for orders will be made to the seller on a weekly basis, subject to the product’s successful delivery and confirmation from the buyer.
- Rapidshop.in will deduct applicable commissions, transaction fees, and any refunds or chargebacks from the total payout.
- Payments are processed via bank transfer (NEFT/IMPS/RTGS) to the bank account registered by the seller.
9. Seller Account Responsibility
- Sellers are responsible for maintaining the confidentiality of their account credentials and ensuring that their account is used in compliance with this Agreement.
- Rapidshop.in is not responsible for any unauthorized access to the seller’s account resulting from the seller’s failure to secure their login details.
10. Intellectual Property
- Sellers must ensure that they have the necessary rights to sell the products listed on Rapidshop.in, including but not limited to trademarks, copyrights, and licenses.
- By listing a product on Rapidshop.in, the seller grants Rapidshop.in a non-exclusive, royalty-free license to use product images, descriptions, and other content provided for the purpose of listing the product on the platform.
11. Seller Conduct
- Sellers are prohibited from engaging in any fraudulent activity, including listing counterfeit or unauthorized products, misleading customers, or violating platform policies.
- Rapidshop.in reserves the right to suspend or terminate the seller account if there is a breach of conduct, including consistent customer complaints, policy violations, or unethical practices.
12. Indemnification
- The seller agrees to indemnify and hold harmless Rapidshop.in, its affiliates, officers, employees, and agents against any claims, damages, liabilities, or losses arising from:
- The sale of products on the platform.
- Breach of this Agreement or any applicable laws.
- Any dispute between the seller and a customer.
13. Suspension or Termination of Account
- Rapidshop.in reserves the right to suspend or terminate a seller’s account at any time, without notice, if the seller breaches this Agreement, engages in fraudulent activities, or violates platform policies.
- In the event of termination, the seller will be required to fulfill any outstanding orders and will no longer be eligible for payouts until the fulfillment is completed.
14. Data Retention and Privacy
- Rapidshop.in will retain the seller’s data, including transaction history and account details, for a maximum of 30 days after the transaction date.
- Sellers must ensure compliance with Rapidshop.in’s Privacy Policy and handle customer data securely as per applicable data protection laws.
15. Amendments to the Terms
- Rapidshop.in reserves the right to amend or modify these terms and conditions at any time. Sellers will be notified of any changes via email or through the seller dashboard.
- Continued use of the platform after amendments will constitute acceptance of the updated terms.
16. Governing Law and Dispute Resolution
- These Terms and Conditions shall be governed by and construed in accordance with the laws of India.
- Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
